The New Employment Deal: Drafting Practical Protections that Benefit Both Shareholders and Executives
Your CEO wants to renegotiate his/her employment agreement. Your investors are skeptical of the need to provide severance protection to a well-paid executive officer. Your board is concerned about balancing the interests of competing stakeholders and its working relationship with management. This panel combines insights and experiences to discuss alternatives to employment agreements, maintaining positive working relationships between directors and executives, reducing tension in compensation negotiations and understanding the tax and securities law implications of employment agreements and severance or change in control plans.
2:35 p.m. – 3:20 p.m.
Managing Risk in Your Incentive Plans
The level of scrutiny on incentive-based compensation, performance measures, and pay out curves has never been higher. Metric evaluation and stress testing are critical aspects of building an effective incentive plan. In this discussion, the panel will offer a holistic framework and best practices for metric selection, stress testing, and how to build a risk-minded culture.

The expert panel will specifically focus on communication prior to disclosure, at the time of disclosure and post disclosure of the CEO Pay Ratio, as well as discuss how disclosure in the proxy should differ from internal communications. Disclosure examples will be highlighted through the discussion while the panel examines effectiveness and early trends.
