Impending governance requirements and best practices often take a back seat during the IPO process, and the JOBS Act provides a few years of flexibility. However, as shareholder scrutiny on board decisions increases and proxy voting grows more complex, effective governance practices can be the deciding factor of success or failure from day 1 as a public company.
